1. Agreement

These Terms of Service ("Terms") constitute a legal agreement between you and DataPulse AI Inc. ("DataPulse AI", "we", "us"), a corporation registered in Ontario, Canada (BN 824157093 RC0001), with offices at 250 Yonge Street, Suite 2000, Toronto, ON M5B 2L7. By accessing datapulseai.pro or engaging our services, you agree to these Terms. If you do not agree, do not use the website or submit enquiries.

Separate written statements of work, master services agreements or proposals govern paid client engagements and prevail over these Terms where they conflict.

2. About DataPulse AI

DataPulse AI is an applied-AI studio and data consultancy that designs and builds custom machine-learning models, analytics dashboards, data pipelines, LLM applications, monitoring systems and related services for organizations. We are a professional services firm — not a software product you subscribe to, not a training course or academy, not an AI-income or passive-income scheme, and not a data broker that sells personal information.

3. Brand definitions — Pulse and Data

"Pulse" in our name and materials refers to a live signal from your data and systems — metrics, monitoring readings, pipeline health and model drift indicators. It does not refer to healthcare, medical devices, heart-rate monitoring, fitness tracking, vital signs or any clinical product.

"Data" refers to information owned or controlled by you or your organization that we work on under contract to deliver services. We do not operate a data marketplace, sell personal data or broker datasets to third parties.

4. Website use

You may browse our website for lawful, personal or internal business purposes. You must not:

• Attempt unauthorized access to our systems or client areas;
• Introduce malware, scraping bots or automated attacks;
• Reproduce, republish or commercially exploit site content without written permission;
• Misrepresent affiliation with DataPulse AI;
• Submit false, defamatory or unlawful material through our forms.

We may suspend access to protect security or integrity of the site.

5. Enquiries and contact forms

When you submit our contact form, you confirm that information provided is accurate to the best of your knowledge and that you have authority to share it. You must check the PIPEDA consent box before submission — consent is not pre-selected. We use your information to respond to enquiries per our Privacy Policy. Submitting spam or automated solicitations via hidden honeypot fields or otherwise is prohibited.

6. Professional services

Descriptions of services on this website are general information, not binding offers. Engagements begin only when both parties sign or otherwise accept a statement of work specifying scope, deliverables, timeline, fees in CAD, IP terms and data handling requirements. We deliver work with human-in-the-loop design and responsible AI practices appropriate to the use case.

Client responsibilities typically include timely access to data, stakeholders, systems and decisions. Delays on the client side may affect timelines and costs.

7. AI systems — limitations and disclaimer

Our studio provides AI and data design, development and consulting services, including strategy, machine-learning and generative-AI applications, analytics, data engineering, AI assistants, workflow automation and monitoring for client organizations. AI systems can produce errors, biased or inaccurate outputs and require human review and oversight; we design for humans-in-the-loop. We do not guarantee specific business results, predictions, cost savings, revenue, accuracy or return on investment. Outcomes depend on data quality, scope, budget and adoption. Any case studies or metrics shown on this website reflect past client work and are not a promise of future performance.

We do not claim fully autonomous systems with zero errors, AGI, sentient AI or guaranteed ROI. We do not provide legal, financial, investment or medical advice.

8. Intellectual property

Website content — text, design, logos and original graphics — is owned by DataPulse AI Inc. or licensed to us. You may not copy or redistribute it without permission. Client engagement IP is allocated per the applicable contract; unless otherwise stated, custom deliverables are assigned to the client upon payment while we retain pre-existing tools and general methodologies.

9. Confidentiality

We treat non-public client information as confidential subject to our agreements. Public website content, marketing materials and anonymised case studies do not disclose identifiable client secrets. Mutual NDAs are available for discovery sprints and proposals.

10. Third-party links and tools

Our site may link to third-party resources. We are not responsible for their content or privacy practices. Client projects may integrate third-party APIs, cloud platforms or model providers subject to those vendors' terms.

11. Fees and payment

Indicative fee ranges on the website are estimates only. Binding fees appear in signed statements of work, quoted in Canadian dollars unless otherwise agreed. Payment terms, expenses and taxes are specified per contract.

12. Warranty disclaimer

The website and general service descriptions are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose or non-infringement. We do not warrant uninterrupted or error-free website operation.

For paid engagements, warranties and remedies are defined in the governing contract, not by website copy.

13. Limitation of liability

To the maximum extent permitted by applicable law, DataPulse AI Inc. shall not be liable for indirect, incidental, special, consequential or punitive damages arising from website use or general information herein. For paid engagements, liability limits are set in the governing contract. Nothing in these Terms excludes liability that cannot be excluded under Ontario law.

14. Indemnity

You agree to indemnify DataPulse AI against claims arising from your unlawful use of the website, breach of these Terms or submission of infringing or unauthorized materials, except to the extent caused by our gross negligence or wilful misconduct.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You attorn to the exclusive jurisdiction of the courts of Ontario for disputes relating to these Terms or website use, subject to any different forum specified in a client contract.

16. Changes

We may update these Terms by posting a revised version with a new "Last updated" date. Continued use of the website after changes constitutes acceptance of the updated Terms for website use. Active clients remain governed by their contracts for service delivery.

17. Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
